Welcome to Kairos. Please read these Terms of Service ("Terms") carefully as they contain important information about your legal rights, remedies, and obligations. By accessing or using the Kairos platform, you agree to comply with and be bound by these Terms.

1. Acceptance of Terms

By accessing or using our platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our platform.

2. Description of Service

Kairos is an AI-assisted veterinary radiology reporting platform designed to help radiologists create faster, more consistent reports. Our platform uses artificial intelligence to analyze radiological findings and generate suggested conclusions and recommendations.

3. User Accounts

To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Professional Responsibility and Medical Disclaimer

IMPORTANT: Kairos is designed to assist, not replace, professional veterinary radiologists. The platform provides suggestions based on the information you input, but the final clinical judgment, diagnosis, and report approval always rest with you, the qualified professional.

You acknowledge and agree that:

• Kairos is not a substitute for professional veterinary judgment, expertise, or direct examination of patients
• You will review all AI-generated content for accuracy and appropriateness before finalizing any report
• You maintain full responsibility for the content of reports generated using our platform, regardless of whether they contain AI-suggested content
• Kairos makes no warranty regarding the accuracy, completeness, or reliability of any AI-generated content

5. User Content

Our platform allows you to input radiological findings and other information ("User Content"). You retain all rights to your User Content, but you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your User Content solely for the purposes of:

• Providing and improving our services
• Training and improving our AI models
• Analyzing usage patterns and performance

You represent and warrant that you have all necessary rights to submit your User Content and that it does not violate any third-party rights or applicable laws.

6. Prohibited Conduct

You agree not to:

• Use the platform for any illegal purpose
• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Interfere with or disrupt the platform or servers
• Attempt to gain unauthorized access to any part of the platform
• Use the platform to transmit harmful code or malware
• Scrape, data mine, or extract data from the platform
• Share your account credentials with others

7. Intellectual Property

The platform, including its software, design, text, graphics, and other content (excluding User Content), is owned by us and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our platform without our prior written consent.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KAIROS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
• ANY CONTENT OBTAINED FROM THE PLATFORM, INCLUDING AI-GENERATED CONTENT
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR PLATFORM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kairos, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

• Your use of our platform
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another person or entity

10. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on our platform. Your continued use of the platform after the posting of the revised Terms constitutes your acceptance of the changes.

11. Termination

We may terminate or suspend your access to our platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the province of Ontario, Canada, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising from or relating to these Terms or your use of the platform shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association. The arbitration shall be conducted in Toronto, Ontario.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.
